Associate (3 - 6 years)

The role

The Employment team is seeking a lateral associate with 3-6 years of PQE for its Chicago office. This role focuses on the employment aspects of corporate transactions, particularly for private equity clients and strategic investors, and involves drafting, negotiation, legal research, and client advisory.

What you'll do

• Work on the employment aspects for all types of transactions involving private equity clients and strategic investors
• Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements
• Conduct associated legal research to ensure compliance with applicable state law
• Advise clients on strategic approaches to structuring transactions, market practices and legal considerations on matters such as wage and hour, discrimination, performance, discipline, leave of absence and disability by applying legal principles and judgment to different factual scenarios
• Work with senior attorneys on due diligence calls with management
• Negotiate principal and ancillary transaction documents, including purchase and sale agreements, disclosure schedules, employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements and employment agreements
• Analyze the legal and factual background of pre-litigation disputes and litigation matters
• Work with senior attorneys to develop case strategy
• Prepare and finalize drafts of court and agency filings and responses to same
