Associate (3 - 5 years)

The role

The Intellectual Property Transactions (IPT) Group at Ropes & Gray is seeking associates with 3-5 years of licensing and transactional experience to join their offices in Silicon Valley, San Francisco, Boston, or New York. This role is for attorneys with a strong interest in technology, software, consumer retail, brands, and media, who are passionate about advising clients on intellectual property, innovation, and business strategy.

What you'll do

• Advise clients on transactional matters where intellectual property, technology, and brand assets are central to deal value
• Lead and support complex transactions such as mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products
• Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements
• Counsel clients on IP and technology issues, including artificial intelligence use and deployment, in connection with product launches, digital transformation initiatives, e-commerce, advertising, media, and entertainment deals
• Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses
• Collaborate with multidisciplinary teams to address legal and business challenges in fast-paced sectors such as retail, beauty, food & beverage, health & wellness, software, and emerging technologies (AI, digital health, SaaS, etc.)
