Associate (3 - 5 years)

The role

The Intellectual Property Transactions (IPT) Group at Ropes & Gray is seeking associates with 3-5 years of licensing and transactional experience for its Silicon Valley, San Francisco, Boston, or New York offices. This role is for attorneys passionate about advising clients on technology, software, consumer retail, brands, and media at the intersection of IP, innovation, and business strategy.

What you'll do

• Advise clients on transactional matters where intellectual property, technology, and brand assets are central to deal value
• Lead and support complex transactions such as mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products
• Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements
• Counsel clients on IP and technology issues, including artificial intelligence use and deployment, in connection with product launches, digital transformation initiatives, e-commerce, advertising, media, and entertainment deals
• Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses
• Collaborate with multidisciplinary teams to address legal and business challenges in fast-paced sectors such as retail, beauty, food & beverage, health & wellness, software, and emerging technologies (AI, digital health, SaaS, etc.)
