Project Finance of Counsel at Paul Hastings

The role

Paul Hastings is seeking a Project Finance of Counsel with 3+ years of experience to join their Finance and Projects practices in New York. This role focuses on sophisticated project and structured finance transactions, with a particular emphasis on digital infrastructure.

What you'll do

Provide legal advice regarding highly sophisticated project and structured finance and credit transactions
Represent large financial institutions, including large banks, and underwriters or initial purchasers in connection with syndicated credit facilities and U.S. private placements
Negotiate legal documentation and strategies with clients and opposing counsel
Manage and oversee bank lending transactions and U.S. private placement issuances from initiation to completion
Supervise associates, paralegals, and other professional staff
Assist senior colleagues with forming and executing strategies
Review associates’ work product in preparing supporting legal documentation
Assist in the structuring of guarantor and collateral packages in multiple jurisdictions
Develop client relationships, including attending client events
Run deals independently and source new business for the Firm
Demonstrate a mastery of deal execution
Co-lead client pitches
Draft thought leadership
Deepen niche client relationships pertaining to digital infrastructure
Be recognized as an expert legal resource

What we're looking for

Juris Doctor or foreign equivalent degree

8 years of experience with an international law firm representing large banks, note purchasers and borrowers/sponsors in connection with complex international projects and structured finance and credit transactions in the energy and infrastructure sectors

5 years of experience working on structured finance and credit transactions in the energy and infrastructure sectors

5 years of experience working with bank lending or U.S. private placement transactions

5 years of experience reviewing, drafting, and negotiating commitment letters, fee letters, term sheets, engagement letters, senior secured credit agreements, common terms agreements and note purchase agreements, security documents, equity contribution and sponsor support agreements, and accounts agreements for bank financings and U.S. private placements, as well as related interest rate swap and cap transactions and related trade confirmations, including on ISDA forms, and deal-contingent hedge documentation

5 years of experience reviewing and analyzing construction contracts, data center lease agreements, power purchase agreements, concession agreements, acquisition agreements, ground leases, tax-exempt and bond-for-title documentation, direct agreements for project contracts

5 years of experience providing clients summaries and due diligence memoranda

5 years of experience structuring collateral arrangements in multiple jurisdictions

3 years of experience reviewing associates’ work product

3 years of experience supervising a team of lawyers and other professional staff

3 years of experience performing client management

Licensed to practice law in New York State

Special emphasis in digital infrastructure including data center, fiber and other digital infrastructure expertise· nice to have

Experience with domestic U.S. and U.S.-Latin America cross-border financings· nice to have

Telecommuting permitted in accordance with company policy

Salary of $455,000 to $460,000 per year
