The role
Paul Hastings is seeking an Antitrust/Competition Associate with 4-8 years of PQE for their Los Angeles, San Francisco, or New York office. The role focuses on Hart-Scott-Rodino (HSR) premerger notification filings and related antitrust compliance for mergers and acquisitions.
What you'll do
- Act as Legal Counsel (Antitrust/Compliance)
- Conduct antitrust analysis and advise clients on pre-merger antitrust considerations and determine whether a transaction meets HSR filing requirements
- Work closely with the M&A Practice Group (Deal Team) to oversee the transaction from inception
- Gather information
- Assist with due diligence precautions and integration planning
- Prepare and file the HSR Form, while ensuring accuracy
- Advise on strategic rationale, competitive overlaps, and supply relationships
- Coordinate with external counsel with respect to HSR filings
What we're looking for
4+ years of Hart-Scott-Rodino experience
Substantive experience ensuring compliance with U.S. antitrust law in mergers, acquisitions, and other related transactions
Extensive familiarity with the Hart-Scott-Rodino Antitrust Improvements Act
Admitted (or eligible to be admitted) to the Bar in the jurisdiction in which they are located
Experience counseling on all aspects of premerger notification filings under the Hart-Scott-Rodino Antitrust Improvements Act· nice to have
Experience assisting with due diligence precautions and integration planning· nice to have
Experience assisting with Access Letter and Second Request responses· nice to have
Benefits
Salary range of $310,000 - $435,000 annually
