Lateral Attorney

The role

Kirkland & Ellis LLP is seeking a Lateral Attorney in New York to advise public and private corporate clients, financial institutions, and private equity firms on domestic and cross-border M&A and private equity transactions. This role requires at least four years of relevant experience, including advising private equity firms and companies in M&A and related corporate governance matters.

What you'll do

• Advise public and private corporate clients, financial institutions, and private equity firms in domestic and cross-border M&A and private equity transactions
• Represent private equity firms and public and private companies in mergers and acquisitions, leveraged buyouts, carve-outs and minority investments as well as related corporate governance matters
• Lead due diligence and document review processes and manage transactions, including overseeing junior associates and coordinating with various specialist counsel
• Advise on transaction structuring by analyzing tax implications and regulatory considerations
• Draft and negotiate a broad array of transactional documents, including equity agreements, stock and asset purchase agreements, operating agreements, subscription agreements, shareholders agreements, term sheets, board resolutions and other ancillary transaction documents
• Provide legal advice on corporate governance, and corporate regulatory compliance matters arising from mergers and acquisitions and complex reorganizations
