The role

Goodwin is seeking a Senior Attorney for its Technology practice group in Los Angeles. This role focuses on Blue Sky laws, advising on federal and state securities regulations, and supporting various capital markets and financing transactions.

What we're looking for

Significant experience advising on federal securities law exemptions

Significant experience advising on state Blue Sky laws

Significant experience advising on broker-dealer regulations

Significant experience advising on related compliance matters

Experience supporting securities offerings

Experience supporting private company financings

Experience supporting investment funds

Experience supporting capital markets transactions

Experience supporting other securities matters

Strong working knowledge of Regulation D

Strong working knowledge of Section 4(a)(2)

Strong working knowledge of Rule 701

Strong working knowledge of Regulation A

Strong working knowledge of Rule 144

Strong working knowledge of applicable state securities requirements

Experience preparing and overseeing Form D filings

Experience preparing and overseeing state securities filings through the NASAA Electronic Filing Depository (EFD)

Outstanding academic credentials

Comparable law firm experience

Excellent written and verbal communication skills

Relevant bar admission or eligibility to obtain admission promptly
