Ontario - Corporate Law Clerk at Caravel Law

The role

Caravel Law is seeking a Corporate Law Clerk with 7+ years of experience to join their team in Toronto, Canada. This role will focus on M&A transactions and involve assisting lawyers with corporate legal services and drafting transaction documents.

What you'll do

Assist Caravel lawyers in delivering corporate legal services to clients across Ontario and/or Alberta and/or British Columbia
Support Caravel lawyers with drafting transaction documents and completing financings, mergers and acquisitions
Perform Corporate Law Clerk duties, including incorporations, minute book maintenance, resolution preparation, searches and registrations, transaction and financing assistance, and public company filings

What we're looking for

Minimum of 7 years of related experience

If based in Ontario: Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent)

If based in Alberta or British Columbia: Paralegal Diploma (or equivalent)

Previous experience with managing corporate records, minute books, drafting resolutions and related corporate documents

Entrepreneurial, proactive and self-starting team player

Strong organizational and project management skills

Excellent analytical skills and attention to detail

Proficiency with MS Office and corporate law and entity management software

Ability to work independently with appropriate judgment and discretion

Professional demeanour and excellent communication

Contract management or in-house experience is an asset· nice to have
