The role
Reed Smith seeks a mid-level Associate for its Chicago office within the Global Corporate Group. This role is focused on M&A and Private Equity transactions, requiring 3-6 years of experience in these practice areas.
What you'll do
- Draft and negotiate transaction documents including SPAs, shareholders agreements and ancillary documents
- Lead/co-lead client communications
- Co-lead negotiation calls
- Produce acquisition, equity and related documents in a client-ready format
- Run key aspects of transactions, from due diligence through closing
What we're looking for
3-6 years of experience representing private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies
Experience in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate portfolio company matters
Hands-on drafting and negotiating experience for complex M&A and private equity transactions and related investment agreements
Experience as a key member of deal teams
Responsibility for leading/co-leading client communications
Responsibility for co-leading negotiation calls
Experience producing acquisition, equity and related documents in a client-ready format
Experience running key aspects of transactions, from due diligence through closing
Active member of the Illinois state bar
Experience in the middle market· nice to have
