Houston Mid-level Capital Markets Associate at Clifford Chance

The role

Clifford Chance is seeking a mid-level Capital Markets Associate with 3+ years of PQE for its Houston office. This role will focus on complex domestic and international securities transactions, advising clients across various sectors including energy and infrastructure.

What you'll do

Advise on a broad range of debt and equity capital markets matters
Independently manage significant portions of transactions
Coordinate diligence and disclosure processes
Draft and negotiate transaction documents
Work closely with clients, investment banks, accountants, and opposing counsel
Work directly with public company management teams and financial institutions on complex and fast-paced transactions

What we're looking for

J.D. from an accredited law school

Active membership in good standing with the Texas Bar, or eligibility to waive into the Texas Bar

At least three years of law firm experience focused on capital markets, securities, corporate finance, or related corporate transactions

Significant experience representing issuers, underwriters, sponsors, or financial institutions in debt and equity capital markets transactions

Experience with initial public offerings, follow-on offerings, high-yield debt transactions, SPAC transactions and other public and private securities offerings

Experience drafting and negotiating offering memoranda, registration statements, underwriting agreements, purchase agreements, indentures, and related transaction documents

Familiarity with SEC reporting requirements, securities laws, stock exchange rules, and public company governance matters

Ability to independently manage transaction workstreams and coordinate multidisciplinary teams on complex matters

Strong analytical, drafting, negotiation, and communication skills

Strong attention to detail and ability to manage multiple matters and deadlines in a fast-paced, collaborative environment

Sound judgment, commercial awareness, intellectual curiosity, and a practical, client-focused approach

Experience with liability management transactions or restructuring-related financings is preferred· nice to have

Experience representing clients in the energy, infrastructure, industrial, or natural resources sectors is preferred but not required· nice to have

Salary range for this position is $260,000-$310,000
