Technology Transactions Associate (Junior-to-Mid-Level)

The role

Reed Smith is seeking a Junior-to-Mid-Level Technology Transactions Associate with 2-4 years of experience for its Dallas office. This role focuses on drafting and analyzing complex technology and IP-related commercial agreements within the Technology practice group.

What you'll do

• Draft and negotiate complex technology and IP-related commercial agreements including SaaS and other cloud-based Agreements, Software License Agreements, Professional and Master Services Agreements, Outsourcing Agreements, Supply Agreements, Distribution and Reseller Agreements, Manufacturing Agreements, and other, bespoke, complex, technology-based commercial transactions
• Evaluate and advise on IP and tech issues that arise in general corporate transactions, such as merger and acquisition, carve-out and spin off, and private equity
• Conduct diligence related to chain of title, inbound and outbound licenses, open-source software, artificial intelligence, and US data processing matters
• Assist with relevant transaction documents in M&A, carve-out and spin off, and private equity transactions
