The role
Orrick is seeking a mid-level Associate with 4-5 years of experience in the Compensation & Benefits practice group to focus on executive compensation and M&A transactions. This role will be based in San Francisco.
What you'll do
- Evaluate and resolve executive pay and benefits considerations that emerge during mergers and acquisitions, private equity transactions, and other corporate deals
- Draft and advise on the design of equity and cash incentive plans and executive employment agreements
- Draft SEC-required compensation and benefits disclosures for securities filings
What we're looking for
4-5 years of experience with a peer law firm in executive compensation and benefits
Strong academic credentials
Strong verbal and written communication and interpersonal skills
Ability to collaborate effectively within a team environment while also taking ownership of significant individual responsibilities
Admission to the State Bar of the office of the state in which the candidate expects to be located is required
Experience and/or a desire to work with growth-stage technology and life sciences companies and investors· nice to have
