Lateral Associate (2 - 6)

The role

Ropes & Gray seeks a Capital Markets Associate with 2-6 years of PQE for its Boston office. This role focuses on advising corporate issuers, financial institutions, and other market participants on a range of complex securities transactions, financing matters, and disclosure obligations.

What you'll do

• Advise clients on capital markets transactions, including public offerings, private placements, equity issuances, debt issuances, initial public offerings, and other securities financing matters
• Draft, review, and revise prospectuses, offering memoranda, registration statements, private placement documents, underwriting agreements, purchase agreements, comfort letter materials, closing documents, and related transaction documents
• Prepare and review securities filings, disclosure documents, corporate governance materials, proxy statements, board materials, and other documents connected to reporting, governance, and transactional matters
• Conduct legal due diligence, identify transaction issues, assess disclosure concerns, and help clients address legal and regulatory risks
• Research and analyze questions arising under the Securities Act, the Securities Exchange Act, the Investment Company Act, the Investment Advisers Act, rules and guidance issued by the Securities and Exchange Commission, Financial Industry Regulatory Authority rules, and stock exchange requirements
• Support clients with ongoing reporting obligations, disclosure controls, corporate governance practices, and compliance with securities laws and market standards
• Coordinate with deal teams through all stages of a transaction, including planning, drafting, diligence, negotiation, filing, signing, closing, and post-closing follow-up
• Communicate clearly with clients, colleagues, opposing counsel, financial advisers, intermediaries, and regulators to advance transaction documents, resolve issues, and meet deadlines
• Monitor legal developments, regulatory changes, disclosure trends, and market practice affecting capital markets transactions and public company matters
• Manage multiple active matters, set priorities, track deliverables, and complete work accurately under time-sensitive conditions
• Use artificial intelligence technologies responsibly and ethically to support legal research, drafting, review, analysis, and workflow efficiency while maintaining professional judgment, confidentiality, and compliance with firm policies
