The role

Goodwin is seeking a mid-level Technology IP Transactions Associate for their IP practice in New York. This role focuses on technology and intellectual property licensing, M&A IP due diligence, and drafting/negotiating various strategic agreements.

What we're looking for

Solid experience in technology and intellectual property licensing

Experience in other technology transactions

Experience in IP support of M&A and other corporate transactions

Experience in intellectual property and technology due diligence in M&A

Experience in drafting and negotiating joint development, collaboration, and other strategic alliance agreements

Experience in drafting and negotiating technology and intellectual property licenses and services agreements

Experience in drafting and negotiating software as a service agreements

Experience in drafting and negotiating distribution agreements

Experience in drafting and negotiating OEM and VAR and other reseller agreements

Outstanding academic credentials

Comparable law firm experience

Excellent written and verbal communication skills

Relevant bar admission (or eligibility to obtain admission promptly)

Deal sheet required

Demonstrated experience with open-source software license terms· nice to have

Demonstrated experience with intellectual property issues presented by artificial intelligence technology and tools· nice to have
