CFIUS Mid/Senior Associate (Washington, DC)

The role

Paul Hastings is seeking a mid/senior associate with 4-7 years of experience to join its Regulatory practice group in Washington, D.C. The role focuses on advising clients on matters related to CFIUS, OISP, and FOCI mitigation.

What you'll do

• Provide legal advice and guidance on matters related to CFIUS filings and assessments, OISP assessments and deal provisions, FOCI-mitigation assessments and agreements
• Identify and assess jurisdiction, and advise on potential national security risks associated with proposed transactions
• Draft, prepare, file CFIUS and OISP notifications, and oversee the filing process to completion, with minimal partner oversight
• Conduct due diligence and risk assessments for clients in connection with mergers, acquisitions, financing and other transactions
• Evaluate FOCI factors and risk, including potential need for FOCI mitigation, and ensure compliance with NISPOM requirements
• Draft, prepare, and submit FOCI-mitigation agreements and related materials in compliance with the NISPOM
