The role

Gibson, Dunn & Crutcher is seeking Corporate Real Estate Associates in London to join their growing practice. This role is for ambitious associates with experience in M&A and Real Estate transactions, focusing on private equity, corporate real estate M&A, joint ventures, and platform transactions for significant clients.

What you'll do

Work on Private M&A, including acquisitions and disposals of property-rich companies, real estate-backed operating businesses, portfolios and single assets, and corporate carve-outs
Work on Public M&A, including take-privates and other public-to-private transactions involving listed real estate companies and REITs
Work on Joint ventures, club deals, co-investments and programmatic ventures with sponsors, investors, developers, operators and asset managers
Work on Platform transactions, including platform acquisitions and build-outs, and asset management / manager M&A
Work on Recapitalisations, restructurions and exits involving real estate vehicles, platforms and portfolios
Work on the corporate structuring that sits behind real estate investment, working alongside real estate, tax, finance and investment funds colleagues
At NQ-1PQE level, work on corporate and private equity transactions outside the real estate sector
Supervise more junior team members (for 4-6 PQE)

What we're looking for

Trained and qualified at a leading international or top-tier commercial law firm

Experience of, or exposure to, drafting and negotiating sale and purchase agreements, joint venture and shareholders’ agreements and associated documentation

Experience of, or exposure to, corporate due diligence on property-rich companies, portfolios and platforms

Strong academic credentials

Strong technical legal skills

Commercial judgement

Confident working directly with partners, clients and colleagues across practice areas

Communicate clearly and effectively with clients, counterparties and internal teams

NQ–1 PQE: corporate lawyer with seat or early transactional experience in corporate/M&A, private equity or real estate, and a genuine and considered interest in building a corporate practice in the real estate sector

4–6 PQE: corporate lawyer with substantive transactional experience in the real estate sector, able to run deals day to day and to supervise more junior team members

England & Wales qualified· nice to have

Strong candidates from other common law jurisdictions will be considered· nice to have
