Technology Transactions & Commercial Agreements Associate at King & Spalding

The role

King & Spalding is seeking a Technology Transactions & Commercial Agreements Associate with 3-5 years of experience to join their team. This role will focus on structuring, negotiating, and closing complex commercial agreements related to technology and intellectual property, and will be based in their Chicago, Atlanta, or Austin offices.

What you'll do

Structure, negotiate and close complex commercial agreements
Negotiate software licensing and cloud services agreements
Negotiate software, data and IP development agreements
Negotiate channel, reseller and distribution agreements
Negotiate e-commerce agreements
Negotiate Al/ML development, licensing and services agreements
Negotiate media, entertainment and other content licensing deals
Negotiate global IT, facilities and business process outsourcing (BPO) transactions
Negotiate digital infrastructure (including data centers and telecom) deals
Conduct IP due diligence in M&A, private equity and other corporate and financial transactions

What we're looking for

3-5 years of experience structuring and negotiating complex commercial contracts and technology deals

Current law firm experience

Superior academic credentials from a top-tier law school

Relevant coursework in business, technology and intellectual property law subjects

Excellent analytical, writing and project management skills

Ability to work collaboratively across teams and offices

Self-starter

Experience in AI/ML, semiconductor/chip development, drug and medical device development· nice to have

Experience in digital assets and cryptocurrency· nice to have

Experience in payments and payment systems· nice to have
