The role
King & Spalding is seeking a Technology Transactions & Commercial Agreements Associate with 3-5 years of PQE to join their team in Chicago, Atlanta, or Austin. This role focuses on structuring, negotiating, and closing complex commercial agreements related to technology and intellectual property transactions.
What you'll do
- Structure, negotiate and close complex commercial agreements related to the development, deployment, licensing, use and disposition of technology and intellectual property
- Structure, negotiate and close agreements related to the sourcing of IT and business process services
- Negotiate and implement complex commercial, procurement and industrial transactions
What we're looking for
3-5 years of experience structuring and negotiating complex commercial contracts and technology deals
Experience with software licensing and cloud services agreements
Experience with software, data and IP development agreements
Experience with channel, reseller and distribution agreements
Experience with e-commerce agreements
Experience with Al/ML development, licensing and services agreements
Experience with media, entertainment and other content licensing deals
Experience with global IT, facilities and business process outsourcing (BPO) transactions
Experience with digital infrastructure deals
Experience conducting IP due diligence in M&A, private equity and other corporate and financial transactions
Self-starter with excellent analytical, writing and project management skills
Ability to work collaboratively across teams and offices
Current law firm experience
Superior academic credentials from a top-tier law school
Relevant coursework in business, technology and intellectual property law subjects
Experience in AI/ML· nice to have
Experience in semiconductor/chip development· nice to have
Experience in drug and medical device development· nice to have
Experience in digital assets and cryptocurrency· nice to have
Experience in payments and payment systems· nice to have
