The role

Ropes & Gray is seeking an Associate with 5+ years of experience in their Funds and Real Estate practice groups in Washington D.C. The role focuses on advising sponsors and investors on real estate fund formation, structuring, and management, and involves leading fundraising activities.

What you'll do

• Represent real estate fund sponsors and investors in transactions and negotiations
• Advise clients on the formation, structuring, and management of open-end and closed-end real estate funds
• Lead teams during fundraising processes for real estate funds
• Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents
• Conduct legal research and analyze regulatory requirements affecting real estate funds and related products
• Coordinate with clients, investors, and service providers to facilitate fund closings
• Prepare and review disclosure documents and investor communications
• Support due diligence processes for real estate acquisitions and investments
• Identify and resolve legal issues related to fund operations, management, and investor relations
• Monitor changes in laws and regulations affecting real estate funds, co-investment vehicles, and real estate products
• Use AI technologies responsibly and ethically to enhance legal research and document review
• Work with colleagues in tax, real estate, finance, and regulatory practices, supervises junior team members, and help partners maintain existing client relationships
