The role
Holland & Knight is seeking a Cross Border M&A Associate with 3+ years of experience to join its M&A practice in New York. This role focuses on advising clients on complex domestic and international M&A transactions, particularly those involving cross-border elements.
What you'll do
- Advise clients on domestic and international mergers and acquisitions, joint ventures, minority investments, and other strategic transactions
- Draft, review, and negotiate purchase agreements, investment agreements, joint venture agreements, governance documents, ancillary transaction documents, and related corporate materials
- Support transaction structuring and execution for clients operating across the US, Latin America, and other international markets
- Conduct and coordinate legal due diligence, including review of corporate, commercial, governance, and transaction-related materials
- Work collaboratively with cross-practice and cross-border deal teams, including lawyers in corporate, tax, finance, regulatory, employment, and other practice areas
- Advise on corporate governance, entity formation, ownership, control, and post-closing integration matters
- Communicate effectively with clients, counterparties, local counsel, and internal deal teams
