Cross Border M&A Associate

The role

Holland & Knight is seeking a Cross Border M&A Associate with 3+ years of experience to join their M&A practice in Miami. This role focuses on sophisticated domestic and international transactions, particularly those involving the US, Latin America, and other global markets, and requires advising public and private companies and other market participants.

What you'll do

• Advise clients on domestic and international mergers and acquisitions, joint ventures, minority investments, and other strategic transactions
• Draft, review, and negotiate purchase agreements, investment agreements, joint venture agreements, governance documents, ancillary transaction documents, and related corporate materials
• Support transaction structuring and execution for clients operating across the US, Latin America, and other international markets
• Conduct and coordinate legal due diligence, including review of corporate, commercial, governance, and transaction-related materials
• Work collaboratively with cross-practice and cross-border deal teams, including lawyers in corporate, tax, finance, regulatory, employment, and other practice areas
• Advise on corporate governance, entity formation, ownership, control, and post-closing integration matters
• Communicate effectively with clients, counterparties, local counsel, and internal deal teams
