The role

Cooley seeks a Compensation & Benefits Attorney with 5+ years of experience in private equity and employment law to join their San Francisco office. This role focuses on advising private equity sponsors on executive compensation and employee benefits matters related to acquisitions, divestitures, and portfolio company issues.

What we're looking for

5+ years of experience advising on executive compensation and employee benefits matters

Experience representing private equity sponsors in acquisitions and divestitures

Experience handling day-to-day portfolio company matters

Experience with grants of profits interests and other LLC incentive awards

Experience with management holdco vehicles

Experience with rollover equity

Experience with employment and severance arrangements

Experience with mergers and acquisitions involving other privately held companies

Experience with IRC Sections 280G and 409A

Excellent academic credentials
