Corporate Private Equity/M&A Associate (Mid-Level)
Key requirements
Four to six years of meaningful M&A and transactional experience Experience representing private equity sponsors, institutional investors, family offices, alternative asset managers and their portfolio companies Experience in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures and other corporate and portfolio company matters Significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements and other transaction documents
The role
Reed Smith seeks a Mid-Level Corporate Private Equity/M&A Associate with 4-6 years of experience in M&A and private equity transactions for their New York office. The role involves representing various financial sponsors and their portfolio companies in complex transactions.
What you'll do
- Draft and negotiate acquisition agreements, equity and investment agreements and other transaction documents
- Produce client-ready transaction documents
- Coordinate and manage due diligence and other workstreams
- Take ownership of key aspects of transactions from initial structuring and negotiation through signing and closing
What we're looking for
Four to six years of meaningful M&A and transactional experience
Experience representing private equity sponsors, institutional investors, family offices, alternative asset managers and their portfolio companies
Experience in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures and other corporate and portfolio company matters
Significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements and other transaction documents
Experience serving as a key member of deal teams
Experience with middle-market private equity transactions
Experience working directly with clients, opposing counsel and other transaction participants
Strong technical and drafting skills
Sound commercial judgment
Attention to detail
Ability to manage multiple workstreams effectively
Active members of the New York State Bar
Experience with sophisticated M&A and private equity transactions· nice to have
