Corporate Private Equity/M&A Associate (Mid-Level)
Key requirements
Four to six years of M&A and transactional experience Experience representing private equity sponsors, institutional investors, family offices, alternative asset managers and their portfolio companies Experience in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures and other corporate and portfolio company matters Significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements and other transaction documents
The role
Reed Smith is seeking a Mid-Level Corporate Private Equity/M&A Associate with 4-6 years of experience in M&A and private equity transactions to join their New York office. The role focuses on representing various sponsors and investors in complex deals, requiring strong drafting and client-facing skills.
What you'll do
- Produce client-ready transaction documents
- Coordinate and manage due diligence and other workstreams
- Take ownership of key aspects of transactions from initial structuring and negotiation through signing and closing
What we're looking for
Four to six years of M&A and transactional experience
Experience representing private equity sponsors, institutional investors, family offices, alternative asset managers and their portfolio companies
Experience in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures and other corporate and portfolio company matters
Significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements and other transaction documents
Experience serving as a key member of deal teams
Experience with middle-market private equity transactions
Comfortable working directly with clients, opposing counsel and other transaction participants
Strong technical and drafting skills
Sound commercial judgment
Attention to detail
Ability to manage multiple workstreams effectively
Active members of the New York State Bar
