Mid-Level Private Capital Tax Associate at Baker McKenzie

The role

Baker McKenzie is seeking a mid-level Private Capital Tax Associate with 3-5 years of PQE to join its Tax Practice in Miami or New York. The role focuses on advising clients on domestic and cross-border investments, private equity, and M&A transactions within the tax group.

What you'll do

Advise clients on the structuring of domestic and cross-border investments in various asset classes
Advise clients on private investment offerings
Advise on FIRPTA, trust and fiduciary and mergers and acquisitions, corporate and partnership re-organizations
Draft and negotiate related contracts, investment documents and trust and fiduciary instruments
Draft memoranda and opinions on current, complex US tax issues

What we're looking for

3-5 years of relevant tax experience

Experience in real estate taxation (including FIRPTA, REITs, qualified opportunity zones and 1031 like-kind exchanges)

Experience in estate planning and holding structures

Experience in private equity (including fund formation, carried interest structures and M&A)

Experience in partnership tax and joint ventures

Experience in energy (including tax credit monetization transactions)

Experience in family office structuring and related issues

Ability to work in a dynamic environment

Ability to work with colleagues in different practice groups and countries

Ability to learn and embrace new, developing areas of tax law with limited formal guidance

Top academic credentials

Admitted to and in good standing of the New York or Florida Bar or eligible to waive in or ready to sit the Florida bar

LLM in taxation may be favorably considered· nice to have
